1. Definitions
"Software" means any software application, program, executable, associated documentation, data files, and ancillary materials released by Bad Kitty Software, including but not limited to Hue and PassFORGE. "Licensor" means Bad Kitty Software, a sole trader operating under the name Bad Kitty Software in the United Kingdom. "Licensee" means any individual or entity that downloads, installs, executes, or otherwise uses the Software. "Non-commercial use" means use that is not primarily intended for or directed towards commercial advantage or monetary compensation.
2. Grant of licence
Subject to the terms and conditions of this Agreement, the Licensor hereby grants to the Licensee a non-exclusive, non-transferable, royalty-free licence to download, install, and use the Software solely for non-commercial purposes. This licence does not include any right to sublicense the Software.
3. Conditions of use
The Licensee shall, as a condition of the licence granted herein:
- Retain all copyright notices, attributions, and credits as included in the original Software and documentation
- Provide clear and visible attribution to Bad Kitty Software in any public use or distribution of the Software
- Not remove, alter, or obscure any proprietary notices contained in or on the Software
4. Restrictions
The Licensee shall not, without the prior express written consent of the Licensor:
- Use the Software for any commercial purpose, including without limitation incorporation into a commercial product or service, resale, or use in providing paid services to third parties
- Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based upon the Software
- Distribute, sublicense, sell, transfer, assign, or otherwise make available the Software or any portion thereof to any third party for commercial gain
- Remove or alter any copyright, trademark, or other proprietary rights notices from the Software or documentation
5. Commercial use and special permissions
Any use of the Software outside the scope of the licence granted in clause 2, including without limitation commercial use, incorporation into a commercial product, or adaptation for resale, requires the prior express written permission of the Licensor. Such permission, if granted, shall be documented in a separate written agreement between the parties. The Licensor reserves the right to refuse any such request at its absolute discretion.
6. Accessibility
Notwithstanding clause 4, the Licensor may, at its absolute discretion and without any obligation or warranty, consider requests for accessibility adaptations to the Software from Licensees with disabilities. Such consideration does not constitute a commitment or obligation on the part of the Licensor to undertake any work, and any response shall be communicated in writing.
7. Intellectual property
The Software and all copies thereof are proprietary to the Licensor and title thereto remains in the Licensor. All applicable rights in all copyrights, trade secrets, patents, and other intellectual property rights in the Software are and shall remain in the Licensor. The Licensee acknowledges that no title to the intellectual property in the Software is transferred to the Licensee.
8. Disclaimer of warranties
The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not warrant that the Software will be error-free, that defects will be corrected, or that the Software is free of viruses or other harmful components.
9. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall the Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the use of or inability to use the Software, even if the Licensor has been advised of the possibility of such damages.
10. Termination
This licence is effective until terminated. The Licensee's rights under this licence will terminate automatically without notice from the Licensor if the Licensee fails to comply with any term of this Agreement. Upon termination of this licence, the Licensee shall cease all use of the Software and destroy all copies, full or partial, of the Software.
11. Governing law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Entire agreement
This Agreement constitutes the entire agreement between the parties with respect to the use of the Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this Agreement will be binding unless made in writing and signed by the Licensor.
